Vice President, Senior Tax Counsel (000026D5)Under the direction of the Senior Vice President, Tax, the Vice President, Tax Counsel performs and oversees the tax law functions for the Company, including the preparation of tax law opinions and tax law memorandum with respect to all aspects of the Company's global tax planning, M and A transactions, legal settlements, tax controversies, tax legislative, tax policy and tax regulatory matters. Collaborates with internal and external legal counsel, executive management and operating executives to optimize the Company's global effective tax rate and cash taxes consistent with the Company's strategic plans.Participates with the Healthcare Distribution Alliance (HDA) Tax Committee and other industry coalitions in developing and advocating sound tax legislative and regulatory policies, consistent with the Company's strategic plans. Recruits and oversees the personal and professional development of the Company's tax attorneys.Performs tax law research and prepares tax law opinions and tax law memorandum supporting the Company's tax planning initiatives and tax reporting and compliance positionsPrepares, in collaboration with internal and external legal counsel, intercompany agreements and participates in the drafting of legal settlement agreements to ensure that required legal provisions are included to support the tax deductibility of settlement paymentsDirects and manages all aspects of tax protests, appeals and tax litigation at all levels, including the preparation and presentation of tax law opinions and tax law memorandumDirects and manages all activities relating to tax ruling requests and including the preparation, filing and presentation of all applicable documentation and ruling request submissionsLeads tax due diligence performed in connection with M and A transactions, participate in the drafting of transaction documents, including tax representations and tax indemnification provisions, and recommend transaction structures to optimize the tax consequences of transactionsRecruits, develops and manages the Company's tax attorneys and ensures their personal and professional development, consistent with human resource policiesParticipates with the Senior Vice President of Tax at the federal, state and local level in tax legislative, regulatory and policy matters affecting the Company and regularly interact with representatives from various governmental agencies and auditors to represent the Company in tax-related mattersDirect and manage all tax controversy matters and all external advisors engaged to provide tax services for the CompanyQualificationsRequires an undergraduate degree, a Juris Doctor degree and a Master of Laws in Taxation from accredited institutions and law schools, with an outstanding record of academic achievement at each level i.e. honors, law review participation. Normally requires minimum of eight (8) years of experience in a tax leadership role at a Fortune 100 Company and at least two (2) years of law firm experience. Must be admitted to and a member in good standing of a State Bar, the U.S. Federal District Court, and the U.S. Tax Court.Experience developing and implementing major tax savings initiatives at major multinational companiesExperience in substantially reducing the annual effective tax rate and cash taxesStrong expertise in all aspects of domestic and international corporate tax law, with experience in federal and state tax legislative and tax policy mattersDirect experience in obtaining major favorable IRS tax rulings and Closing Agreements and acting as tax counsel of record in major tax litigation and tax controversy mattersDemonstrated record of prevailing in major federal and state tax litigation and controversies, eliminating or substantially reducing proposed tax assessmentsConsistently exhibits strong courage of conviction and self-confidence in order to recommend the appropriate course of action on tax mattersDemonstrates high level
