Eaton Corporation Senior Counsel, Corporate Governance in Beachwood, Ohio
Ideal candidate is a corporate generalist with significant experience in corporate governance, business law, securities compliance and mergers and acquisitions. Lawyer in this role will be a critical resource in the legal function and provide support to the corporate secretary on Board of Directors and Committee related corporate governance matters, preparation and review of Board and committee meeting materials, public disclosures, advise on corporate governance best practices, policies, and other public company obligations. Ensure corporate governance compliance with NYSE listing requirements. Provide additional general corporate support in the legal function as needed, including for example, support for securities compliance on 1934 Act filings, annual proxy statement, and section 16 compliance, intercompany transactions and M&A projects.
Collaborate and provide legal guidance on external communication such as earnings releases, press releases, investor presentations and marketing materials, and the Company's investor relations website.
Provide legal support for the governance of the Company’s subsidiaries and for corporate transactions, including finance and capital markets transactions and internal group restructurings.
Monitor regulations and developments that are relevant to the Company’s business interests, particularly relating to corporate governance, public company matters and mergers and acquisitions.
Education level required
Bachelors degree from an accredited institution is required.
Juris Doctorate (J.D.) degree from an accredited law school required.
Years and area of experience required
- Minimum of 6 years of relevant legal experience
Legal entity management and related transactions
Corporate Governance and working with Boards of Directors and committees
1934 Act Filings, Section 16 and other areas of securities compliance
Finance and capital markets transactions.
Familiar with mergers, acquisitions and global joint ventures a plus
Low ego; Demonstrated leadership abilities; Able to be the team leader or effective member of a highly functioning team
Sound strategic thinking and business counsel
Ability to provide legal support to the Board, senior executives, other clients and fellow attorneys
Ability to manage complex professional relationships across the globe, working in a large established and matrixed law practice
Possesses a global view; ability to dig deep into details to meet internal and external customer needs
Knows when it is necessary to use influence to drive difficult decisions as well as understands when additional investigation is required
Excellent spoken and written communications skills and the ability to adapt the message to effectively share information with internal and external stakeholders.
Genuinely enjoys the practice of corporate law, naturally inquisitive and demonstrates tenacity when working on complex projects.
